technotrans completes conversion into Societas Europaea

Change in company’s legal form takes effect / WKN and ISIN unaffected / No cost to shareholders


From technotrans AG to technotrans SE: with effect of June 28, 2018, the group operates as a Societas Europaea (SE). The modification of its legal form has now taken effect with its entry on the Commercial Register. This move entails no changes whatsoever for shareholders.

“As a Societas Europaea, technotrans now has a corporate form that is an even more accurate reflection of its international focus,” commented Dirk Engel, Chief Executive Officer of technotrans SE. The Annual General Meeting on May 18 had passed a resolution to change the company’s legal form. This move has now been brought to a conclusion with entry on the Commercial Register of the Local Court of Münster. The dual-board system comprising Board of Management and Supervisory Board as well as employee codetermination are unaffected.

The listing of the no par value registered shares on the Frankfurt Stock Exchange will be changed from the previous legal form “technotrans AG” to the new class “technotrans SE”. There are no changes to the securities identification number (ISIN) or stock exchange symbol.
Existing stock market orders are not affected and remain valid.

The depositary banks will change the class designation of the securities accounts for the no par value registered shares in the company from previously “technotrans AG” to “technotrans SE”. There will be no cost to shareholders of the company for the change in the class designation.
