Pursuant to Section 161 of the German Stock Corporation Act (AktG), the Board of Management and the Supervisory Board of a German company listed on the stock exchange shall declare annually that the recommendations of the German Corporate Governance Code (GCGC) have been and are being complied with, or which of the Code's recommendations have not been applied or are not being applied and the reasons therefor. This declaration is referred to as the "declaration of compliance".
The GCGC contains internationally and nationally acknowledged standards for good and responsible corporate governance in the form of recommendations and suggestions.
