technotrans AG has today acquired a majority interest amounting to 51% in Ovidius GmbH, Berlin, via its subsidiary gds GmbH. The acquisition was completed on the one hand through the takeover of the own shares held by Ovidius GmbH itself and on the other hand by way of an increase in the share capital of Ovidius GmbH. Ovidius GmbH has accrued proceeds amounting to around € 0.5 million from the acquisition. The transaction will be closed in the next few days. The effectiveness of the capital increase is still subject to entry on the Commercial Register. In addition, a put and call option was agreed with one shareholder of Ovidius GmbH; if exercised the interest held by gds GmbH in Ovidius GmbH can be increased to 85%.

In acquiring the majority interest in Ovidius GmbH, the technotrans Group reinforces its Services segment. Ovidius GmbH and its subsidiary, EasyBrowse GmbH based in Schwerin, develop XML-based content management and editorial systems for technical documentation and from now on will therefore complement the product portfolio of gds GmbH. The Board of Management believes that Ovidius GmbH and EasyBrowse GmbH therefore fit in well with the existing business activities of the technotrans Group.
